Terms of Service

Plain-English summary: we provide local-SEO services and a CRM platform on a month-to-month basis. You own your business data. We bill through Stripe; you can cancel anytime. Don't misuse the service. We're not liable for indirect damages. This is a starting template — have your attorney review before you rely on it.

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the websites, software, and services provided by Digital Optima ("Digital Optima," "we," "us"), including the local-SEO services, the CRM/"Mission Control" platform, the SEO Revenue Engine, and digitaloptima.net (collectively, the "Services"). By using the Services or clicking "accept," you agree to these Terms. If you are using the Services on behalf of a business, you represent that you are authorized to bind it.

2. The Services

Digital Optima provides done-for-you local search engine optimization and lead generation, and a multi-tenant CRM that you operate under your own business name. Features available to you depend on your plan and any add-on modules you enable. We may improve, change, or discontinue features over time.

3. Accounts & eligibility

You are responsible for the accuracy of your account information, for all activity under your logins, and for keeping credentials confidential. You must be at least 18 and use the Services only for lawful business purposes. Notify us promptly of any unauthorized use.

As between you and us, you own the business data you put into the Services (customers, leads, jobs, and similar records — "Customer Data"). You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Services. We back up data regularly but you are responsible for keeping your own records. On termination you may request an export within 30 days, after which we may delete it.

6. Communications & consent

If you use the Services to send SMS or email to your customers, you are the sender and are solely responsible for obtaining all required consents and for complying with applicable laws and carrier rules (including the TCPA and A2P 10DLC registration for SMS). You will not use the Services to send unlawful, unsolicited, or deceptive messages.

7. Acceptable use

You will not: (a) reverse engineer, resell, or sublicense the Services except as permitted; (b) upload malware or attempt to breach security or access other tenants' data; (c) use the Services for spam, fraud, harassment, or anything illegal; (d) overload or interfere with the Services. We may suspend accounts that violate these Terms or threaten the platform.

8. Third-party services

The Services integrate third-party providers such as Stripe (payments), Google Maps Platform (mapping and place data), Twilio (SMS), and email providers. Your use of those features is also subject to those providers' terms. We are not responsible for third-party services.

9. SEO results disclaimer

Search rankings depend on factors outside our control (search-engine algorithms, competition, your market). We work hard to make your phone ring, but we do not guarantee specific rankings, lead volumes, or revenue.

10. Warranties & liability

The Services are provided "as is" without warranties of any kind to the maximum extent permitted by law. To the maximum extent permitted by law, Digital Optima will not be liable for indirect, incidental, special, or consequential damages, or lost profits or data; and our total liability for any claim is limited to the amounts you paid us for the Services in the three months before the claim.

11. Indemnification

You will defend and indemnify Digital Optima against claims arising from your Customer Data, your messages to your customers, or your violation of these Terms or law.

12. Termination

Either party may terminate for convenience at the end of a billing period. We may suspend or terminate immediately for breach or non-payment. Sections that by their nature should survive (data, liability, indemnity) survive termination.

13. Changes & governing law

We may update these Terms; material changes will be posted here with a new date. Continued use means you accept the changes. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and disputes will be handled in the state or federal courts located in Santa Clara County, California.
